Zimmer Biomet Acquires Monogram, Boosting Orthopedic Robotics Portfolio

Zimmer Biomet has completed the acquisition of Monogram Technologies Inc., a move that will significantly expand its portfolio of orthopedic robotics. Monogram's shares ceased trading on the NASDAQ prior to the market opening on October 7, 2025, and will be delisted.

The acquisition, finalised pursuant to a merger agreement dated July 11, 2025, brings Monogram's semi-autonomous, AI-navigated total knee arthroplasty (TKA) robotic technology under Zimmer Biomet's wing. This technology received FDA 510(k) clearance in March 2025 and is set to enhance Zimmer Biomet's existing suite of solutions.

Monogram's shareholders have received $4.04 in cash per share, along with non-tradeable contingent value rights (CVRs) that could yield up to $12.37 more if certain milestones are met by 2030. Meanwhile, Zimmer Biomet, aiming to be the first orthopedic company to offer a fully autonomous robotic solution, is expecting important product developments linked to this acquisition.

The combined company now boasts the ROSA Robotics platform, which is nearing 2,000 installations worldwide. Monogram also began a clinical study in July 2025 for its fully autonomous robotic technology, further bolstering Zimmer Biomet's commitment to innovation in orthopedic robotics.

With the acquisition of Monogram, Zimmer Biomet has strengthened its position in the orthopedic robotics market. The combined company's portfolio now includes advanced, AI-driven technologies that are poised to revolutionize orthopedic procedures. As Monogram's shares are delisted from the NASDAQ, a new era of fully autonomous robotic solutions in orthopedics is on the horizon.
